Located in the heart of the Mediterranean and just in the South of Italy, Tunisia occupies a strategic position allowing the establishment of direct links with the countries of the European Union, the countries of North Africa and the Middle East. Tunisia has chosen, also, in recent decades to further liberalize its economy and integrate into the global economy. The government has introduced incentives to encourage direct foreign investment.
Foreign investment in Tunisia is free at the stage of the creation and expansion: foreigners may own without prior approval up to 100% of the capital of a company. However, certain services(banking, insurance, investment companies ...) other than totally exporting are subject to approval when foreign participation exceeds 50% of the capital.
Moreover, a foreigner’s business exercise requires obtaining a merchant card issued by the Ministry of Commerce, including the retail distribution and catering. However, foreigners can establish international trading companies which purpose is the import and export trading and international brokerage.
However, some independent professions, like lawyers, accountants or architects are reserved to Tunisian nationals.
As for the transfer of capital, foreign companies that invest in Tunisia benefit from the freedom to repatriate profits and proceeds from sale of capital invested in foreign currencies.
Interest, dividends and capital gains realized by non-resident investors shall not be taxed and repatriation is not subject to any restrictions.
From the viewpoint of protection of foreign investments, it should be noted that Tunisia has joined the Multilateral Investment Guarantee Agency (MIGA), the Agencies Arab, Islamic and North African to guarantee investment, investment protection agreements and of double taxation with most countries of the Organisation for Economic Cooperation and development (OECD).
